Omnidrop Terms & Conditions

Welcome to Omni Drop, a service provided by Omnidrop Holding LLC ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Omni Drop platform ("Platform"), including but not limited to our product fulfillment services, product research tools, advertising insights, sales tracking features, and academy resources. By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must refrain from using the Platform.
Omni Drop is a registered entity in the United States, and these Terms comply with U.S. laws and regulations. By using the Platform, you acknowledge and agree to abide by all applicable laws, rules, and regulations, including but not limited to U.S. intellectual property laws, consumer protection laws, and other relevant legal requirements.

1. Account Registration and Security

Users may register for an Omni Drop account using a valid email address or through Google authentication. By registering, users agree to provide accurate and up-to-date information. Users are responsible for maintaining the confidentiality of their login credentials and are fully accountable for all activities that occur under their account. Omni Drop reserves the right to suspend or terminate any account found to be in violation of these terms or any applicable laws.
Users are required to keep their payment information current, as Omni Drop will charge their designated payment method for all services, including order fulfillment and subscription fees.

2. Shopify Store Connection and Data Access

By connecting a Shopify store to Omni Drop, users grant Omni Drop permission to access their store data, including but not limited to order details, customer information, and product catalogs, for the purpose of fulfilling orders and providing platform services. Users understand that Omni Drop will securely store this data and use it solely for the purpose of executing its services, including the ability to import products into their Shopify store with one click.
Omni Drop does not take ownership of the user’s Shopify store or any data within it. However, the platform retains access to the connected data for the purpose of order fulfillment, tracking, and service optimization. Users can disconnect their Shopify store at any time through their account portal, at which point Omni Drop will no longer have access to their store data.

3. Ad Account Connection and Analytics

Omni Drop allows users to connect their Meta (Facebook), Google, TikTok, Snapchat, and other ad accounts to the Platform. By connecting their ad accounts, users grant Omni Drop access to their advertising data, which will be fed into the Omni Drop analytics dashboard for performance tracking, including profit and loss, cost of ads, and related metrics.
Users acknowledge that this data will be used strictly for the purpose of analytics and reporting, allowing them to make informed business decisions. Omni Drop ensures that all ad account data is stored securely and will not be shared with unauthorized third parties. Users can disconnect their ad accounts at any time through their account portal.

4. Subscription and Billing

Omni Drop offers monthly and annual subscription plans. Each subscription begins with a trial period, the length of which will vary depending on the offer at the time of sign-up. Once the trial period concludes, the subscription will automatically convert to a paid plan, and the user will be billed accordingly. Users will be notified of the trial duration and any subsequent charges before their subscription is activated.
Subscription fees and fulfillment costs are charged to the payment method provided at the time of registration. Omni Drop does not offer refunds for any subscription fees or fulfillment services. Users may cancel their subscription at any time through the account portal, and their access to the platform will remain active until the end of the current billing cycle.

5. Service Use and Restrictions

Users are granted a limited, non-exclusive, non-transferable license to access and use the Omni Drop platform solely for lawful purposes related to order fulfillment, product research, advertising insights, and sales tracking. Users agree not to misuse the platform, including but not limited to engaging in any fraudulent or deceptive practices, circumventing the platform's security features, or exploiting the platform for unauthorized commercial gain.
Any misuse of the platform may result in the suspension or termination of the user's account without notice. Omni Drop reserves the right to take legal action against users who violate these terms.

6. Product Research, Ad Spy, and Sales Tracker

The Omni Drop platform includes tools for product research, ad spying, and sales tracking. Users can access these tools to analyze product performance across various platforms, review top-performing ads on platforms like Meta, Google, TikTok, and Snapchat, and track sales of other stores for benchmarking purposes.
All product research and ad spy data accessed through Omni Drop is publicly available and sourced through third-party APIs. Omni Drop does not claim ownership over the data accessed through these features and provides the tools as a service for user research and optimization purposes.

7. Order Fulfillment and Shipping

Omni Drop facilitates the fulfillment of orders through third-party suppliers integrated into the Platform. Upon receiving a user’s payment, Omni Drop processes the order and coordinates the shipment of products to the specified delivery address. While Omni Drop strives to ensure timely fulfillment, delays may occur due to holidays, customs processing, or other unforeseen circumstances. Users will be notified of any significant delays as soon as they are identified.
Omni Drop assumes responsibility for addressing issues related to product quality or shipment errors. In the event of a product-related issue, Omni Drop will work with the relevant supplier to resolve the matter in a timely manner. Users must report any such issues within [insert number of days] of receiving the product.

8. Intellectual Property

The Omni Drop platform, including but not limited to its software, design, trademarks, logos, and branding, is the exclusive property of Omnidrop Holding LLC. Users are granted a limited, non-transferable license to access and use the Platform in accordance with these Terms.
Omni Drop retains all rights to its proprietary software and branding. However, the intellectual property rights to third-party product research and advertising content accessed through the Platform belong to their respective owners. Omni Drop does not claim ownership of any such third-party content, which is made available to users through publicly available APIs or other integrations.

9. Digital Millennium Copyright Act (DMCA) Compliance

Omni Drop complies with the provisions of the Digital Millennium Copyright Act (DMCA). If you believe that any content on the Platform infringes on your intellectual property rights, you may submit a written DMCA notice to our designated agent at:

Your DMCA notice must include:
A description of the copyrighted work you claim has been infringed.
The location on the Platform where the infringing material is located.
Your contact information.
A statement under penalty of perjury that you have a good faith belief that the use of the material is unauthorized.
A statement that you are the owner of the copyrighted work or authorized to act on the owner’s behalf.

10. Liability and Warranties

Omni Drop provides the Platform on an "as is" and "as available" basis. While we strive to ensure the Platform is available and functioning properly, we do not warrant that the Platform will be error-free or uninterrupted. Omni Drop is not responsible for any damages, losses, or liabilities resulting from the use of the Platform, including but not limited to delays in order fulfillment, third-party service failures, or technical issues.
Users acknowledge that Omni Drop is not liable for any indirect, incidental, or consequential damages arising from the use of the Platform. Our total liability for any claims related to the use of the Platform will not exceed the amount paid by the user to Omni Drop in the three (3) months preceding the claim.

11. Termination of Services

Users may terminate their subscription to Omni Drop at any time through the account portal. Upon cancellation, users will retain access to the platform until the end of the current billing period, at which point the account will be deactivated.
Omni Drop reserves the right to terminate or suspend any user account, without notice, for any breach of these Terms or for any behavior deemed harmful to the platform or its users.

12. Privacy and Data Handling

Omni Drop is committed to protecting the privacy and data of its users. We securely store data associated with users' accounts, connected Shopify stores, and ad platforms, ensuring it is not disclosed or leaked to unauthorized third parties. For more details, please refer to our separate Privacy Policy.

13. Modifications to Terms

Omni Drop reserves the right to modify or update these Terms at any time, and such modifications shall be effective upon posting. It is your responsibility to review these Terms periodically for changes. Continued use of the Platform following the posting of any changes to the Terms constitutes your acceptance of such changes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. Any disputes arising from these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, United States.

15. Dispute Resolution

In the unlikely event of a dispute between a user and Omni Drop, we encourage users to reach out to our support team to resolve the matter amicably. Users acknowledge that by accepting these Terms, they waive the right to pursue legal action unless all efforts to resolve the dispute through dialogue have been exhausted.
Because users can cancel their subscription at any time, disputes regarding billing are unlikely. However, in the event of an unresolved dispute, users agree to resolve any claims through binding arbitration in accordance with the laws of Wyoming, United States
